Please read carefully. This Agreement contains important information regarding automatic renewal, recurring payment authorization, Membership benefits, playoff ticket rights, and other legal obligations.<\/em><\/p>\n\n\n\n

Season Ticket Membership Agreement<\/strong><\/p>\n\n\n\n

The Season Ticket Membership Agreement (“Agreement”) governs your annual Season Ticket Membership (“Membership”) with Soccer Holdings, LLC (“Club”). The Club operates Louisville City FC and Racing Louisville FC. This Agreement applies to the Membership(s) you purchase, renew, or otherwise maintain, whether for Louisville City FC, Racing Louisville FC, or a Dual Membership covering both clubs.<\/p>\n\n\n\n

By purchasing, renewing, or using a Membership, you acknowledge that you have read, understand, and agree to be bound by this Agreement, the Club’s Terms of Use, and all applicable Venue policies.<\/p>\n\n\n\n

This Agreement supplements, and does not replace, the terms and conditions applicable to each individual ticket issued pursuant to the Membership, including any ticket terms, Venue policies, League rules, and the Club’s Terms of Use.<\/p>\n\n\n\n

Entire Agreement.<\/strong> This Agreement, together with the documents incorporated by reference, constitutes the entire agreement between the Club and the Member regarding the Membership and supersedes any prior oral or written representations, understandings, or agreements relating to the Membership.tes specified regardless of game cancellations or rescheduling. Soccer Holdings, LLC, may charge a processing fee in the event a charge is refused for any reason.<\/p>\n\n\n\n

Club Rights and Reservation of Rights. <\/strong>Soccer Holdings, LLC may, in its sole discretion, amend, update, and\/or modify policies, prices, procedures and other terms and conditions relative to your (as defined below) Membership, including this Agreement, upon notice to the individual or corporate entity name that appears on the Membership account of record (\u201cyou\u201d or \u201cyour\u201d), which may be made by, but is not limited to, email or posting at www.loucity.com<\/a> and www.racingoufc.com<\/a>. <\/p>\n\n\n\n

Season Ticket Membership: <\/strong>A Membership is an annual season ticket program that provides Members with designated seating, ticket rights, purchasing privileges, and other benefits established by the Club from time to time. A Membership does not convey any property interest or ownership rights. All Membership benefits, including tickets, remain subject to this Agreement and applicable League and Venue rules. Membership benefits may vary by Membership type and may be modified by the Club from season to season.<\/p>\n\n\n\n

Membership is a Revocable License. <\/strong>Your Membership includes the Tickets, which, like all tickets sold for events at the Venue, are owned by Soccer Holdings, LLC. Your Membership (and each included Ticket) is a revocable license issued by Soccer Holdings, LLC, to you. Soccer Holdings, LLC, may terminate your Membership at any time upon written notification to you for any reason and, other than in the event of your breach of this Agreement, in such event, Soccer Holdings, LLC, will refund any pro rata portion of your Membership dues as of the date of such termination. Any breach by you of this Agreement shall entitle Soccer Holdings, LLC, to all available legal remedies, including, but not limited to, revocation or cancellation of your Membership, with no further compensation or refund. Upon such cancellation or provocation by Soccer Holdings, LLC, you shall forfeit all rights to purchase Playoff Tickets.<\/p>\n\n\n\n

All Sales Are Final. No refunds or exchanges.<\/strong> Except as expressly provided in this Agreement or as required by applicable law, all Membership purchases are final. Membership dues, ticket purchases, and any related fees are non-refundable and non-exchangeable. Members are responsible for making all payments on or before the applicable due dates. Failure to use Membership benefits or attend any event does not relieve a Member of their payment obligations under this Agreement. If a scheduled payment is not received, the Club may exercise the remedies described in Section 12 (Membership Default), including withholding tickets or suspending Membership privileges until the account is brought current. If the amount charged for a Membership or ticket is obviously incorrect due to a pricing, technical, or administrative error, or if a Membership or ticket is issued before its authorized sale date, the Club reserves the right to cancel the transaction and refund the amount paid. If an event is cancelled, postponed, rescheduled, or relocated, ticket holders shall be entitled only to the remedies, if any, established by the Club or required by applicable law. Unless otherwise required by law or expressly stated by the Club, cancellation, postponement, rescheduling, or relocation of an event does not entitle a Member to a refund of Membership dues.<\/p>\n\n\n\n

Ticket Delivery. <\/strong>Tickets will be delivered electronically through the Member’s SeatGeek account before the applicable event(s), provided the Membership account is in good standing. The Club may withhold ticket delivery until all required payments have been received. Members may transfer or resell tickets only through SeatGeek or another resale platform authorized by the Club.<\/p>\n\n\n\n

Ticket Terms. <\/strong>Each ticket issued as part of a Membership is subject to the terms and conditions applicable to that ticket, including any terms printed on the ticket, incorporated by reference into the ticket, displayed within the Member’s digital ticket wallet or ticketing application, or otherwise made available by the Club, the applicable League, the Venue, or the Club’s ticketing provider. Those ticket terms are incorporated into this Agreement by reference and apply in addition to, and not in lieu of, this Agreement. In the event of a conflict between this Agreement and the terms applicable to a specific ticket or event, the Club may determine which provisions govern to the extent permitted by applicable law.<\/p>\n\n\n\n

Automatic Renewal. <\/strong>This Membership automatically renews each year unless the Member cancels during the Club’s designated annual renewal opt-out period. By purchasing or renewing a Membership, you authorize recurring charges in accordance with this Agreement.The Club’s annual renewal period is currently August 1 through August 31. During this period, Members may cancel automatic renewal during the Club’s annual renewal period by completing the Club’s official opt-out process or by providing written notice to the Club before the applicable deadline. If a Member does not opt out before the stated deadline, the Membership will automatically renew for the following season under the payment plan selected by the Member. The Club reserves the right to revise renewal dates, pricing, payment schedules, and Membership offerings for future seasons upon reasonable notice. Members who do not renew their Membership for the following season may lose Membership benefits, including Member pricing, seating priority, Playoff Ticket priority, presale opportunities, and other benefits designated by the Club.<\/p>\n\n\n\n

Membership Events. <\/strong>The annual Membership purchase price covers the Member’s designated seating location for the Club’s Regular Season home matches and the Membership benefits associated with those matches. In addition to the Regular Season home schedule, Members are automatically enrolled in certain additional Membership Events (“Additional Membership Events”) designated by the Club. Unless otherwise announced by the Club, Additional Membership Events may include, without limitation, home playoff matches, exhibition matches, international friendlies, tournament matches, cup competitions, and other ticketed Club events designated by Soccer Holdings, LLC. Additional Membership Events are separate from the annual Membership purchase price unless the Club expressly states otherwise. The Club may establish different pricing, seating locations, ticket allocations, or Member benefits for different Additional Membership Events. The Club will communicate pricing, payment timing, and applicable Member benefits for each Additional Membership Event before any charges are processed. Members acknowledge that Additional Membership Events may be scheduled or announced after Membership renewal and that they are automatically enrolled in such Additional Membership Events. The Club may, in its sole discretion, provide Members with an opportunity to decline participation in a particular Additional Membership Event before applicable charges are processed. Unless the Club provides such an opportunity, Members authorize the applicable charges for such Additional Membership Event in accordance with this Agreement.<\/p>\n\n\n\n

Playoff Tickets. <\/strong>Notwithstanding Section 8, Playoff Tickets are subject to the following additional terms: Season Members in good standing automatically retain their seating location for all home playoff matches. Playoff tickets are separate from annual Membership dues unless otherwise announced by the Club. Eligible Members authorize the Club to charge the payment method on file for Playoff Tickets. If the Club provides a Playoff Ticket opt-out period, Members must timely exercise that option in accordance with the Club’s instructions to avoid applicable charges.<\/p>\n\n\n\n

Payment Terms. <\/strong>Members may elect to pay in full or through an approved installment payment plan. Selecting an installment plan is a payment convenience only. Once a Membership renews or is otherwise committed, the Member remains responsible for the full Membership purchase price. Payments must be made on or before each scheduled due date. Failure to maintain a current payment method does not cancel a Membership or relieve the Member of payment obligations. Returned payments or declined charges may be subject to processing fees.<\/p>\n\n\n\n

Payment Authorization. <\/strong>By purchasing, renewing, or maintaining a Membership, the Member authorizes Soccer Holdings, LLC to charge the credit card, debit card, or bank account on file for: Annual Membership dues; Installment payments; Playoff Tickets; Additional Membership Events; Applicable taxes and fees; and Other authorized Membership-related charges. This authorization remains in effect until the Membership is properly cancelled pursuant to this Agreement or otherwise revoked as required by applicable law. The Member is responsible for maintaining accurate payment information. If payment information changes, the Member agrees to promptly update the account. The Club reserves the right to modify future pricing, payment schedules, or installment plans upon reasonable notice prior to renewal.<\/p>\n\n\n\n

Membership Default<\/strong>. If a scheduled payment is not received, the Club may, in its sole discretion: Suspend Membership privileges; Withhold ticket delivery; Restrict entry to events; Revoke playoff eligibility; Reassign seat locations; or Cancel the Membership without refund of amounts previously paid. Suspension of Membership privileges does not relieve the Member of payment obligations under this Agreement. Failure to exercise any remedy immediately does not waive the Club’s rights.<\/p>\n\n\n\n

Membership Changes<\/strong>. The Club reserves the right to modify this Agreement, Membership benefits, pricing, payment schedules, seating locations, event schedules, and other Membership offerings upon reasonable prior notice. Any material changes affecting automatic renewal, recurring payment obligations, or other material Membership terms will be communicated to Members before they become effective. League schedules, opponents, match dates, venues, and event formats are subject to change. The Club may modify Membership benefits without providing equivalent substitute benefits. No refund shall be due solely because an event is rescheduled or relocated unless required by applicable law or Club policy.<\/p>\n\n\n\n

Account Ownership and Transfers<\/strong>. Memberships and any rights under this Agreement may not be assigned or transferred without the Club’s prior written consent. The name associated with your Membership account may not be changed, except as follows: legal name change, change in marital status or change in business name. All requests for Membership account information changes must be submitted to Soccer Holdings, LLC, in writing.<\/p>\n\n\n\n

Member Conduct<\/strong>. Members and all individuals using Membership tickets must comply with all Venue policies and the Fan Code of Conduct. The Club reserves the right to revoke Membership privileges without refund for disorderly conduct, abusive behavior, illegal activity, unauthorized commercial use, or violations of League or Venue policies.<\/p>\n\n\n\n

Commercial Use<\/strong>. Membership tickets are intended for personal use. Tickets may not be used for advertising, promotions, contests, sweepstakes, commercial resale businesses, or other commercial purposes without prior written consent from the Club.<\/p>\n\n\n\n

Assumption of Risk. <\/strong>Members voluntarily assume all risks associated with attending events, including personal injury, illness, property damage, ball strikes, crowd-related incidents, and other inherent risks. Members release Soccer Holdings, LLC, the Venue, participating leagues, clubs, promoters, and their respective owners, officers, employees, and agents from claims arising from attendance except where prohibited by law.<\/p>\n\n\n\n

Venue Policies<\/strong>. Members consent to security screening upon entry. Failure to comply with Venue security procedures may result in denial of admission without refund. Members acknowledge that matches may include flashing lights, amplified sound, pyrotechnics, and other entertainment effects. Weather delays, postponements, and rescheduled matches remain subject to Club and League policies.<\/p>\n\n\n\n

Media Release<\/strong>. Members grant the Club, the Leagues, and their designees permission to use their image, likeness, voice, and appearance captured at events for promotional, commercial, and archival purposes without compensation.<\/p>\n\n\n\n

Governing Terms<\/strong>. This Agreement governs the Membership relationship between the Club and the Member. Ticket-specific terms continue to govern each individual event and ticket. This Agreement supplements and incorporates: Soccer Holdings, LLC Terms of Use; Lynn Family Stadium policies, including the Fan Code of Conduct; SeatGeek Terms of Use; Applicable League policies; and Any Membership policies communicated by the Club. Nothing in this Agreement shall limit the applicability of any ticket-specific terms, Venue policies, League rules, or applicable law. In the event of a conflict, this Agreement shall govern the Membership relationship unless otherwise required by law. LLC, may restrict entry to Louisville City and\/or Racing Louisville FC matches and Member events and\/or revoke Membership privileges if scheduled payments are not timely paid and\/or if any authorized charge is refused by my credit card company or banking institution for any reason. I realize that if any credit\/debit card or bank account number(s) provided at the time of enrollment change, I will promptly notify Soccer Holdings, LLC, and this authorization will remain in effect for such new card\/account number(s). Under all payment plans, all payments are due on the dates specified regardless of game cancellations or rescheduling. Soccer Holdings, LLC, may charge a processing fee in the event a charge is refused for any reason.<\/p>\n\n\n\n
